AUDIT COMMITTEE
The Audit Committee assists the Board of Commissioners in performing its supervisory function by monitoring, reviewing, and providing assurance on the integrity and effectiveness of DYAN’s financial reporting, risk management, and internal controls, in accordance with applicable laws and regulations. The Committee also monitors the implementation of internal audit functions and the performance, qualifications, and independence of the External Auditor. The Audit Committee works closely with the Internal Audit Unit and the External Auditor.

Willy Albertus Runtunuwu
Audit Committee Member
He is an Indonesian citizen, 43 years old, and domiciled in Tangerang. He has served as a Member of the Company’s Audit Committee since May 2025, based on the Board of Commissioners Decree No. 0110/SK/DEKOM/DMI/V/2025. He has more than 17 years of professional experience in accounting and taxation. Throughout his career, he has held various strategic positions, including Vice General Manager of Accounting, Tax & Financial System, Accounting & Tax Manager, and Member of the Risk Monitoring Committee. His areas of expertise include financial accounting, taxation, internal audit, and risk management. He earned his Bachelor’s degree in Accounting from Universitas Bung Karno in 2004 and a Master’s degree in Accounting from Universitas Indonesia in 2025.

Dhanang Yan Minarhadi
Audit Committee Member
He is an Indonesian citizen, 43 years old, and domiciled in Sidoarjo. He has served as a Member of the Company’s Audit Committee since May 2025, based on the Board of Commissioners Decree No. 0110/SK/DEKOM/DMI/V/2025. He has several years of professional experience at KAP Leonard Mulia Richard, Semarang. Through this experience, he has developed strong expertise in internal audit, with a focus on risk-based audit approaches and strengthening effective internal control systems. His competencies include risk management, financial and management accounting, as well as taxation, which he integrates into providing consultative solutions to enhance control effectiveness, operational efficiency, and the quality of organizational governance. In addition to his professional practice, he is also actively contributing to the development of knowledge in finance and audit through various publications, including “Optimizing Excel with the Assistance of ChatGPT for Auditors,” “Risk Assessment Based on Risk Score,” “Audit Risk Calculation,” “Risk in Focus 2025,” and “Three Lines of Defense & Fraud Hexagon.” He earned his Bachelor’s degree in Accounting from Universitas Sanata Dharma Yogyakarta in 2006 and a Master’s degree in Accounting from Universitas Pembangunan Nasional in 2024.

The Nomination and Remuneration Committee is a committee formed by and is responsible to the Board of Commissioners in assisting the functions and duties of the Board of Commissioners regarding the Nomination and Remuneration of members of the Board of Directors and members of the Board of Commissioners.

He is an Indonesian citizen, 48 years old, and lives in Jakarta. He has served as Member of the Company’s Nomination and Remuneration Committee since 2021. He was reappointed as Member of the Company’s Nomination and Remuneration Committee based on Board of Commissioners Decree No. 0063/SK/DEKOM/DMI/IX/2022. He earned a Bachelor’s degree in Psychology at Soegijapranata Catholic University, Semarang in 1996. He has served as Head of the Company’s Human Resources Department from 2013-present.
